Company Secretary (CS) Course

The Institute of Company Secretaries of India (ICSI) introduced a new syllabus for the Company Secretary (CS) course in 2023, with an updated structure, subjects, and exam pattern. Here’s a breakdown of the new CS course details:

CS Executive Entrance Test (CSEET)(Entry-Level)

  • Eligibility: After passing Class 12th or equivalent.
  • Exemptions: Graduates, postgraduates, and those who have cleared ICAI (CA) or ICMAI (CMA) Foundation exams are exempt from CSEET and can directly register for the CS Executive Program.
  • Subjects: Business Communication, Legal Aptitude and Logical Reasoning, Economic and Business Environment, Current Affairs
  • Changes: Updated syllabus to cover newer aspects of business environments and legal regulations. Introduction of Video Interview Skills as part of the CSEET.
  • Exam Pattern: Computer-based test with MCQs. Viva voce on presentation and communication skills.
  • Exams: Conducted multiple times a year.

CS Executive Program (Mid-Level)

  • Eligibility: After passing CSEET or if exempted (graduates, etc.).
  • Duration: Minimum of 9 months of study after registration.
  • Modules: Divided into two modules.
  • Subjects: Reduced from 8 to 7 papers in the new syllabus.
  • Module 1: Jurisprudence, Interpretation & General Laws, Company Law, Setting Up of Business Entities and Closure, Tax Laws
  • Module 2: Corporate & Management Accounting, Securities Laws and Capital Markets, Economic, Commercial & Intellectual Property Laws (ECIPL)
  • Changes: Subjects updated to reflect contemporary developments in laws, governance, and taxation. Removal of Financial and Strategic Management (now a part of the final level).
  • Exams: Held twice a year (June and December).
  • Passing Criteria: Minimum 40% in each subject and 50% aggregate in each module.

Pre-Examination Test

All CS Executive and Professional students must take an online pre-examination test before being eligible to appear for the main exams. This test consists of MCQs based on the syllabus and acts as a preparatory assessment.

Subjects

Practical Training

  • Duration: 21 months of training after clearing the CS Executive Program, which can be done under:
    • A company or a practicing company secretary.
  • Practical Training Requirements:
    • Students are required to undergo practical training in companies, financial institutions, law firms, or with practicing company secretaries to gain exposure to the corporate world and legal compliance.
    • 1 month of e-Governance training.
    • 2 weeks of residential management skills orientation programme (MSOP) after clearing the CS Professional.
  • Total Duration:
    • Typically, the CS course takes 3 to 4 years to complete, including practical training, depending on how quickly the exams are cleared.
  • Key Highlights of the New CS Syllabus:

    • Reduction of subjects at the Executive and Professional levels for a more streamlined course structure.

    • Practical exposure is emphasized through extensive training.

    • The syllabus now focuses more on the governance, compliance, and ethical aspects of corporate law.

    • Enhanced focus on practical skills such as drafting, pleading, and compliance management.

    • Viva voce on presentation and communication skills in the CSEET is a significant new addition.
